1. Introduction

Welcome to Ocean Calm Advisory Group ("Ocean Calm," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of our consulting services and AI platform subscriptions. By engaging with our services, you agree to be bound by these Terms.
 

2. Services Overview

Ocean Calm provides comprehensive go-to-market (GTM) consulting to healthcare and technology startups and small businesses. Our services include:

  • Strategic consulting

  • AI integration into workflows

  • Subscription-based access to our AI platform
     

3. Engagement and Acceptance

By signing a proposal or agreement that references these Terms, you ("Client," "you," or "your") acknowledge and agree to be bound by these Terms, which are incorporated by reference into such agreements.
 

4. Fees and Payment

  • Consulting Services: Fees are outlined in individual proposals. Payment terms are NET 15 days from the invoice date.

  • Subscription Services: Subscription fees are billed monthly or annually, as specified in the proposal. Late payments may incur interest charges.
     

5. Intellectual Property

All intellectual property rights in deliverables, tools, and methodologies provided by Ocean Calm remain the exclusive property of Ocean Calm unless otherwise agreed in writing.
 

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information disclosed during the engagement. This obligation survives the termination of services.
 

7. Data Privacy

Ocean Calm complies with applicable data protection laws. Our Privacy Policy outlines how we collect, use, and protect your data.
 

8. Termination

Either party may terminate the engagement with 30 days' written notice. Upon termination, all outstanding fees become immediately due.
 

9. Limitation of Liability

Ocean Calm's liability is limited to the amount paid by the Client for the services in question. We are not liable for indirect, incidental, or consequential damages.
 

10. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law principles.
 

11. Modifications

We reserve the right to modify these Terms at any time. Changes will be posted on our website, and continued use of our services constitutes acceptance of the revised Terms.
